At PROVERN, we believe in building long-term customer relationships based on quality, reliability, transparency and good communication. These Terms and Conditions are intended to provide a clear and practical framework for our business together.
1. Application of Terms
These Terms and Conditions apply to sales of goods and services supplied by PROVERN AS, unless otherwise agreed in writing.
We understand that many of our customers operate under their own purchasing terms and procedures. Where such terms differ from these Terms and Conditions, any exceptions or amendments should be agreed between the parties in writing before the order is confirmed.
2. Payment Terms
Unless otherwise stated in the quotation, order confirmation, purchase order or invoice, invoices are payable within 21 working days.
If a payment becomes overdue, we encourage the customer to contact us as soon as possible so that any questions or discrepancies can be resolved.
PROVERN AS reserves the right to charge late-payment interest in accordance with the applicable statutory rate under Norwegian law and, where necessary, to place further deliveries or new orders on hold until overdue amounts have been resolved.
3. Overdue Payments and Collection
Our preference is always to resolve outstanding payments directly and constructively with the customer.
Where an invoice remains unpaid after the due date despite appropriate reminders, PROVERN AS may initiate debt-recovery procedures in accordance with applicable legislation.
Any permitted collection fees, interest or reasonable recovery costs may be charged in accordance with applicable law.
4. Taxes and Withholding
Unless otherwise agreed, prices are exclusive of VAT, duties, taxes and similar governmental charges where applicable.
Where local legislation requires the customer to withhold tax or make deductions from a payment to PROVERN AS, the customer should inform PROVERN AS as early as possible so that the appropriate treatment can be agreed and documented.
Unless required by mandatory law or expressly agreed otherwise, invoices issued by PROVERN AS are payable in full.
5. Products, Services and Performance
PROVERN AS is committed to supplying products and services in accordance with agreed specifications, applicable requirements and confirmed commercial terms.
We aim to meet agreed delivery schedules and will communicate with the customer as early as reasonably possible if circumstances arise that may affect delivery or performance.
PROVERN AS cannot be held responsible for delays, losses or circumstances outside our reasonable control.
Our responsibility relates to the products and services supplied by PROVERN AS and their agreed intended use. Products should always be selected, used, maintained and replaced in accordance with applicable instructions, certifications and workplace requirements.
6. Claims, Shortages and Product Issues
Customer satisfaction and product compliance are important to PROVERN.
If goods are received damaged, incomplete, incorrectly supplied or otherwise appear not to conform to the agreed order, we ask the customer to notify PROVERN AS as soon as reasonably possible.
For visible damage, shortages or discrepancies that can reasonably be identified on receipt, we recommend notification within 14 days of delivery.
Claims should preferably include the order or invoice reference, product information and, where relevant, photographs or other supporting information. This allows us to investigate and resolve the matter efficiently.
Issues that could not reasonably have been identified within the initial inspection period should be reported promptly after discovery.
7. Governing Law
These Terms and Conditions and the commercial relationship between the customer and PROVERN AS are governed by Norwegian law, unless otherwise expressly agreed in writing.
Should a disagreement arise, both parties are encouraged to first seek a practical and amicable resolution through direct dialogue.
