PROVERN AS – Terms and Conditions of Sale

    1. Precedence of Terms
    2. The client expressly waives the application of its own standard terms and conditions, including any terms issued after these terms and conditions. Any exceptions or deviations must be agreed in writing in advance and expressly accepted by PROVERN AS.

    4. Payment Terms
    5. Unless otherwise specified on the invoice or purchase order, all invoices are payable within 21 working days. In the event of delayed payment, PROVERN AS reserves the right to charge fixed interest of 12.5% on the overdue amount. PROVERN AS may suspend the delivery of goods or services without prior notice in the event of non-payment.

    7. Debt Collection and Legal Costs
    8. If payment remains outstanding for more than 30 days after the due date, PROVERN AS reserves the right to initiate debt recovery procedures. Any associated legal and collection costs shall be borne by the client.

    10. Withholding Tax
    11. Where applicable, the client is responsible for settling any withholding taxes required by local legislation directly with the relevant tax authorities. PROVERN AS shall not be liable for any such deductions. Invoices must be paid in full without any deductions relating to local tax requirements.

    13. Performance and Liability
    14. PROVERN AS undertakes to provide goods and services in accordance with agreed timeframes and a high standard of performance. However, such obligations shall not be construed as a guarantee of any specific result or outcome. PROVERN AS shall not be held liable as a third party in connection with any claim raised by an end-user against the client.

    16. Claims and Notifications
    17. All claims must be submitted in writing by registered post to the registered office of PROVERN AS within 14 days of delivery of the goods or completion of the services. Claims submitted after this period may not be considered.

    19. Governing Law
    20. All agreements and contractual relationships with PROVERN AS shall be governed exclusively by Norwegian law.
